Last updated: 06/09/2026
This document comprises, on the one hand, the General Terms and Conditions of Sale applicable to sales to consumers (B2C) and, on the other, a separate section of specific terms for sales to business customers (B2B), including sales made on the basis of a quotation, purchase order, written confirmation, or through the “Contact Us” section.
Article 1 – Seller Information
These Terms and Conditions govern distance sales concluded between:
Following the introduction previously provided, here is the translation of the identification clause:
These Terms and Conditions govern distance sales concluded between:
BDSR, an unincorporated partnership, represented by Messrs. Bernard Dejossée and Stéphane Robijns, whose registered office is located at Rue Ernest Malvoz 116, 4610 BEYNE-HEUSAY, Belgium, registered under business number 1036.658.596 and VAT number BE1036.658.596, reachable at the e-mail address contact@bdsr.eu, hereinafter the "Seller";
and any consumer purchasing a product offered under the I'M SO® brand, hereinafter referred to as the “Customer”.
BDSR operates under the I'M SO® trademark, registered by Messrs Robijns and Dejossée, under an implied licence.
Article 2 – Purpose and Scope of Application
These Terms and Conditions of Sale apply to any product order placed by a consumer through the website https://www.im-so.eu/ and, where applicable, through any other distance-selling channel expressly made available by the Seller.
They apply to deliveries to the Member States of the European Union selected on the website at the time of ordering.
Placing an order constitutes full and unconditional acceptance of these Terms and Conditions of Sale.
In the event of a conflict between specific terms accepted in writing and these Terms and Conditions of Sale, the specific terms shall prevail for the order concerned.
Sales to business customers are subject to separate terms. The specific B2B terms set out in this document apply to business orders placed on the basis of a quotation, purchase order, pro forma invoice, written confirmation or through the “Contact us” section, and prevail over any incompatible B2C provisions.
3 – Products
The Seller markets textiles, textile accessories and merchandise under the I'M SO® brand, including both customisable and non-customisable products.
The essential features of each product (material, composition, dimensions, colours, care instructions, personalisation options and indicative lead times) are described on the product page, which can be consulted before placing an order.
Photographs, mock-ups, simulations, personalisation previews and presentation images are provided for illustrative purposes. Slight differences in colour shade, appearance, placement, dimensions or finish may occur depending on the screen used, the material, the manufacturing process or the requested personalisation; these reasonable variations do not in themselves constitute a defect.
The Customer must carefully check the product description, composition, size, care instructions and, where applicable, the appearance of the personalisation before confirming the order.
4 – Personalised products and content provided by the Customer
Personalised products include all items made to the Customer’s specifications or clearly personalised at their request, notably by adding or selecting a first name, text, date, colour, image, logo, embroidery, print, placement, special size, chosen composition or any other specific adaptation.
Before final confirmation of the order, the Customer is solely responsible for the accuracy of the texts, names, dates, sizes, addresses and images submitted; the sufficient quality of the files provided; and compliance with third-party rights in relation to the content submitted.
The Customer warrants that they hold all necessary rights to the materials submitted for personalisation and that these do not infringe intellectual property rights, image rights or any other third-party rights.
The Customer must not submit any content that is unlawful, infringing, defamatory, hateful, discriminatory, obscene, violent, misleading or contrary to public order and accepted standards of morality.
The Seller reserves the right to refuse, suspend or cancel any order containing content that clearly does not comply with this article. In such cases, the Seller may refund the order, potentially deducting costs already incurred where such a deduction is legally permitted.
The images and personalisation examples available on the website, together with the text restrictions specified for each customisable area of the relevant items, are sufficient for the Customer to envisage the final result of the personalisation.
5 – Orders
The Customer selects the desired products, adds them to their basket, completes the requested information, checks the details of their order, accepts these Terms and Conditions of Sale and pays using one of the methods offered on the website.
The order is only definitively registered once the basket and the information provided have been confirmed, these Terms and Conditions of Sale have been expressly accepted, and payment has been completed or authorised.
A confirmation email containing the essential details of the order is sent to the Customer.
The Seller reserves the right to refuse or cancel an order, particularly in cases of clearly incorrect information, suspected fraud, previous non-payment, exceptional unavailability, technical inability to produce the requested personalisation or submitted content that does not comply with Article 4.
6 – Changes to personalisation
Any change requested after approval of the personalisation details or after production has started may result in a longer lead time and additional charges, which will be communicated to the Customer before the change is carried out.
7 – Prices
Prices displayed on the website are stated in euros.
Unless otherwise stated, prices include all taxes for consumers and exclude VAT for business customers. Delivery charges are excluded and are shown before final confirmation of the order.
For cross-border sales within the European Union, the applicable VAT is that legally due under the rules in force at the time of the order.
The Seller reserves the right to change prices at any time. However, the applicable price is the price displayed when the Customer confirms the order.
8 – Payment
Payment is due immediately when you place your order, unless a specific payment arrangement is stated on the website.
Payment may be made using the payment methods offered on the website at the time of the order and displayed at checkout.
The order will only be processed once payment has been confirmed by the relevant payment institution.
Online transactions are secured using the technical solutions employed by the Seller’s payment providers. The Seller does not retain the Customer’s bank details beyond what is strictly necessary to complete the transaction, subject to applicable legal obligations.
The Seller retains ownership of the products until the purchase price, any charges and ancillary amounts have been paid in full, without prejudice to the transfer of risk under Article 10.
9 – Availability
Product offers are subject to available stock and, for personalised products, available production capacity.
If a product becomes unavailable after an order has been placed, the Seller will inform the Customer as soon as possible and offer, at the Customer’s choice, a revised lead time, an equivalent product where possible, or a refund of the amount paid for the unavailable product.
10 – Lead times, delivery and transfer of risk
The times stated on the website are estimates.
Non-personalised products are generally dispatched within an indicative period of 7 working days, unless otherwise stated on the product page or at the time of ordering.
Personalised products are generally dispatched within an indicative period of 7 working days, subject to technical constraints, any required approval of the personalisation and logistical dispatch times.
The total delivery time depends, in particular, on the type of product, the level of personalisation, the destination, the carrier and busy periods.
Delivery is made to the address provided by the Customer when placing the order. The Customer is responsible for the accuracy of the delivery information. Any parcel returned to the Seller because of an incorrect or incomplete address, repeated absence of the recipient or failure to collect it within the required timeframe may incur reasonable redelivery charges payable by the Customer.
Except in cases of force majeure or another legitimate impediment, the Seller endeavours to deliver within a reasonable timeframe communicated to the Customer.
The risk of loss of or damage to the goods passes to the Customer when the Customer, or a third party designated by them other than the carrier, takes physical possession of the products.
11 – Receipt and inspection of the order
The Customer must check the visible condition of the parcel and products upon receipt.
Any visible issue, damaged parcel, missing product, obvious error or apparent non-conformity must be reported to the Seller within a reasonable time, ideally within 48 hours of delivery, by email to contact@bdsr.eu, with photographs and relevant supporting evidence.
Prompt notification facilitates the handling of the case but does not deprive the Customer of their statutory rights, particularly those under the statutory guarantee of conformity.
12 – Right of withdrawal for non-personalised products
For non-personalised products sold to a consumer, the Customer has 14 calendar days, starting from the day after the Customer or a third party designated by them other than the carrier takes physical possession of the goods, to notify their decision to withdraw without having to give a reason.
To exercise this right, the Customer must notify the Seller of their decision to withdraw by sending an unequivocal statement to: BDSR – Customer Service, Rue Ernest Malvoz 116, 4610 BEYNE-HEUSAY, Belgium, email: contact@bdsr.eu. The Customer may use the model withdrawal form provided in the annex, but this is not mandatory.
The Customer must then return the product concerned without undue delay and no later than 14 days after sending their decision to withdraw.
The Customer bears the direct costs of returning the product, unless the Seller agrees to cover them.
The Customer is only liable for any diminished value of the goods resulting from handling beyond what is necessary to establish the nature, characteristics and proper functioning of the product.
The refund will be issued without undue delay and no later than 14 days from the day the Seller is informed of the decision to withdraw. However, the Seller may withhold the refund until the goods have been received back or proof of their dispatch has been provided, whichever occurs first.
The refund will be made using the same payment method used for the order, unless expressly agreed otherwise.
13 – Exclusion of the right of withdrawal for personalised products
In accordance with applicable regulations, the right of withdrawal does not apply to products made to the Customer’s specifications or clearly personalised.
Accordingly, once the order is confirmed, personalised products cannot be returned, exchanged or refunded, except in cases of non-conformity, an error attributable to the Seller, personalisation that does not match the confirmed order or damage occurring before delivery.
14 – Returns outside the right of withdrawal
Outside the statutory right of withdrawal applicable to non-personalised products, no return will be accepted without the Seller’s prior written agreement.
The Seller cannot be held liable for an ordering error attributable to the Customer, including an incorrect size, a spelling mistake approved by the Customer, an incorrect image submitted or the wrong choice of colour or variant.
15 – Statutory guarantee and defects
For every new consumer good sold to a consumer, the Seller applies the statutory guarantee of conformity provided for by applicable legislation.
Where a lack of conformity exists at the time of delivery, the Customer may, subject to the conditions laid down by law, request repair or replacement of the product or, where this is impossible or disproportionate, a price reduction or termination of the contract.
The Customer is requested to report any defect as soon as possible after discovering it, providing a precise description and, where possible, photographs.
The statutory guarantee does not cover normal wear and tear, damage caused by misuse, inadequate care, use contrary to instructions, modifications to the product by the Customer or a third party, or damage caused after delivery.
The fact that a product is personalised does not affect the consumer’s statutory rights in cases of non-conformity, a manufacturing error attributable to the Seller, personalisation that does not match the confirmed order or damage occurring before delivery.
This article is without prejudice to any other statutory rights available to the Customer under applicable law, including, where applicable, the guarantee against hidden defects.
16 – Textile care
The Customer undertakes to follow the care instructions on the label, packaging or product page.
The Seller accepts no liability for damage resulting from washing, drying, ironing, stain removal or use that does not comply with the instructions provided.
17 – Intellectual property
The I'M SO® trademark, logos, images, texts, creations, graphics, photographs, mock-ups, illustrations, designs, trade name, visual identity and, more generally, all elements appearing on the website or products are protected by intellectual property rights and remain the exclusive property of the Seller or its partners/licensees.
Any reproduction, imitation, adaptation, distribution, commercialisation or use, in whole or in part, without prior written authorisation is prohibited.
The Customer authorises the Seller to reproduce the content provided for personalisation solely for the purpose of fulfilling the order. This authorisation is strictly limited to that purpose.
The Customer indemnifies the Seller against any third-party claim relating to materials submitted for personalisation.
18 – Personal data
Personal data collected in connection with orders is processed in accordance with Regulation (EU) 2016/679 (GDPR) and the Seller’s privacy policy, available on the website.
The Customer is invited to consult this policy for information about the purposes of processing, legal bases, recipients, retention periods and how to exercise their rights.
Data may be shared with service providers involved in fulfilling the order, particularly carriers and payment providers, to the extent necessary for that purpose.
19 – Complaints and out-of-court dispute resolution
Complaints may be sent to: BDSR – Complaints Department, Rue Ernest Malvoz 116, 4610 BEYNE-HEUSAY, Belgium, email: contact@bdsr.eu. The Seller will endeavour to handle every complaint as soon as possible and seek an amicable solution.
If a dispute cannot be resolved directly with the Seller, the consumer may contact the Consumer Mediation Service, Boulevard du Roi Albert II 8, box 1, 1000 Brussels, email: contact@mediationconsommateur.be, telephone: +32 (0)2 702 52 20.
As the European Online Dispute Resolution (ODR) platform has been closed since 20 July 2025, these Terms and Conditions of Sale contain no reference to it.
20 – Liability
The Seller is subject only to an obligation of reasonable care and diligence when fulfilling orders placed through the website.
The Seller cannot be held liable for non-performance or delay resulting, in particular, from force majeure, an unforeseeable and unavoidable act of a third party, a logistical or IT disruption, an incorrect address provided by the Customer, a fault on the Customer’s part or content submitted by the Customer that infringes third-party rights.
Nothing in these Terms and Conditions of Sale limits or excludes the Seller’s liability where such limitation or exclusion is prohibited by law.
21 – Amendments to the Terms and Conditions of Sale and severability
The Seller reserves the right to amend these Terms and Conditions of Sale at any time. The applicable terms are those in force on the date of the order.
If any provision of these Terms and Conditions of Sale is held to be void, unlawful or unenforceable, the remaining provisions shall remain in full force and effect.
22 – Governing law and jurisdiction
These Terms and Conditions of Sale are governed by Belgian law.
However, if the Customer is a consumer residing in another European Union member state, they also benefit from any more protective mandatory provisions of the law of their country of residence, where applicable.
If a dispute persists and no amicable solution is reached, the competent courts shall be determined in accordance with the applicable mandatory rules.
Specific terms applicable to business customers (B2B)
The clauses below apply to sales to business customers, whether legal entities or individuals acting for purposes relating to their professional activities. They cover, in particular, orders placed on the basis of a quotation, purchase order, written confirmation or through the “Contact us” section.
23 – Scope of B2B sales
Unless expressly agreed otherwise by the Seller, sales to business customers are not subject to the B2C rules applicable to consumers. The business customer acknowledges that they are acting in the course of their economic activity and do not benefit from the protections reserved for consumers, particularly the right of withdrawal.
In the event of a conflict between the provisions of the B2B section and those applicable to B2C sales, the B2B provisions shall prevail for the business order concerned.
24 – Business customer identification
Before confirming the order, the business customer provides the Seller with their company name, legal form, registered office or business address, business registration number and/or VAT number, billing address and contact person’s details, as well as, where applicable, their Peppol identifier or any information required for structured electronic invoicing.
The business customer warrants that this information is accurate and up to date. They remain responsible for any error or omission that may affect invoicing, delivery, personalisation or the administrative processing of the order.
25 – Formation of the contract
The Seller’s offers, quotations and proposals are valid for the period stated in them. Unless expressly stated otherwise, they only become definitively binding on the Seller upon written confirmation by the Seller.
The contract is deemed concluded at the earliest of the following events: written acceptance of the quotation by the business customer, receipt by the Seller of an accepted purchase order, issuance of a written order confirmation by the Seller, or payment of any deposit requested.
The Seller reserves the right to make the start of production, dispatch or delivery conditional upon receipt of a deposit, usable files, proof approval (BAT), price confirmation, technical confirmation or complete administrative information.
26 – Prices, taxes and charges
Unless otherwise stated, prices quoted to business customers are expressed in euros, excluding VAT and any incidental charges (transport, special packaging, mock-ups, administrative fees, file processing fees, customs charges outside the EU, etc.).
VAT and any legally applicable levies, taxes or withholdings are charged additionally at the rate in force on the invoice date, in accordance with the rules applicable to the transaction concerned.
27 – Structured electronic invoicing and PEPPOL
Where the transaction is subject to a legal requirement for structured electronic invoicing or the Seller requires it, the invoice is issued in a structured format complying with the applicable European standard and transmitted through the PEPPOL network. Any other structured channel is permitted only if allowed by law and expressly accepted in writing by the Seller.
The business customer undertakes to provide, in good time, all information necessary for the proper delivery of the invoice, including their VAT number, PEPPOL identifier, access point, order references or any internal reference required by their organisation.
Any PDF or visual copy of the invoice sent is provided for information or as a courtesy only, without prejudice to the precedence of the structured invoice where it is required or used between the parties.
28 – Payment terms
B2B invoices are payable by the due date stated in the accepted quotation, order confirmation or invoice.
Payment is made using the method specified on the invoice, quotation or order confirmation. Without the Seller’s express agreement, the business customer may not make any unilateral set-off, withholding or deduction.
In cases involving a deposit, made-to-measure production, extensive personalisation, a special order or a first order from a new customer, the Seller may require full or partial advance payment.
29 – Late payment and suspension
Any invoice unpaid by its due date may automatically accrue late-payment interest at the rate applicable to combating late payment in commercial transactions, together with reasonable compensation for recovery costs, to the extent permitted by law and the contract.
In the event of late payment, the Seller may also, after informing the business customer, suspend fulfilment of ongoing orders, refuse new orders, postpone delivery, require additional security or terminate the contract for the customer’s breach if the circumstances justify it.
Failure to make a payment when due renders all amounts owed under other orders or outstanding invoices of the same business customer immediately payable, at the Seller’s discretion and to the extent permitted by law.
30 – Delivery, transfer of risk and receipt
Unless otherwise agreed, lead times communicated for B2B orders are indicative. The Seller endeavours to meet them, but they do not constitute an essential term of the contract unless expressly committed to in writing.
Products are delivered to the address or location agreed with the business customer. The business customer bears the consequences of inaccurate, incomplete or belatedly amended delivery information.
Unless otherwise required by a mandatory legal provision or a specific logistical agreement, the risks relating to the products pass to the business customer when the products are handed over to the carrier or, in the case of collection, when they are made available.
The business customer must inspect the products upon receipt. Any apparent non-conformity, quantity discrepancy, visible damage or reservation concerning transport must be reported to the Seller in writing, with relevant supporting evidence, as soon as possible and, where applicable, within the timeframe specified in the applicable contractual documents, without prejudice to any applicable statutory guarantees.
31 – Returns, conformity and guarantee
No product return will be accepted without the Seller’s prior written agreement. This agreement may be subject to the allocation of a return number, packaging requirements, a specified product condition and specific deadlines.
Products made or personalised for a business customer, as well as products ordered specifically for them, cannot be returned or exchanged unless there is a confirmed defect attributable to the Seller or a specific written agreement.
The business customer must report any alleged defect or non-conformity within a reasonable time after discovery, precisely describing the problem encountered and providing relevant evidence. Depending on the circumstances, the Seller may offer a repair, remanufacture, replacement, credit note or any other commercially reasonable solution.
32 – Personalisation, proof approval (BAT) and supplied content
Where the order involves personalisation, the provisions relating to proof approval (BAT), file approval, corrections, intellectual property rights and the customer’s responsibility for submitted materials apply in full to the business customer.
Unless otherwise agreed, proof approval (BAT), whether expressly given or deemed granted in accordance with the process agreed in the quotation, purchase order, order confirmation or any other approval document, constitutes final agreement to the content, image, placements, texts, colours, dimensions and technical elements visible on the approval document.
Any change requested after proof approval (BAT) may result in additional charges, an extension of the lead time or refusal if the change is no longer technically or economically reasonable.
33 – Retention of title
The Seller retains ownership of the products sold until the price, taxes, charges, interest and any ancillary amounts have been paid in full. Until full payment has been made, the business customer must not grant any security interest over unpaid products, alter them in a way that prevents their reasonable identification or transfer them without first informing the Seller, to the extent permitted by applicable law.
34 – Liability
Except in cases of intentional misconduct, gross negligence, bodily injury or any other circumstances in which the law prohibits a limitation of liability, the Seller’s total liability towards a business customer is limited to the amount excluding VAT actually paid or payable for the order directly concerned.
The Seller is not liable for indirect or non-material losses such as operating losses, loss of margin, loss of customers, reputational damage, loss of data, internal costs, loss of profit or third-party claims, unless otherwise required by a mandatory legal provision.
35 – Governing law and jurisdiction for B2B transactions
B2B contractual relationships are governed by Belgian law.
Subject to any contrary mandatory provisions and unless otherwise agreed in writing, the courts of the judicial district in which the Seller’s registered office is located have jurisdiction over disputes arising from a business order.
